1. About Resto Genie

Resto Genie is a Restaurant ERP product designed to help restaurants manage operations, including billing, inventory, staff, and more.

In Canada and Latin America, Resto Genie is exclusively managed and supported by Happy U Technology, our authorized sales and support partner.

2. Eligibility

By using Resto Genie, you represent that:

• You are at least 18 years old.
• You are authorized to act on behalf of a business or entity.
• You will use the Services in compliance with all applicable laws and these Terms.

3. Account Creation & Responsibilities

To access certain features, you must register for an account. You agree to:

• Provide accurate, current, and complete information.
• Maintain the confidentiality of your login credentials.
• Be fully responsible for activities that occur under your account.

4. Use of Services

You agree to use the Services for lawful purposes only. You must not:

• Use the Services to send spam or fraudulent data.
• Attempt to reverse-engineer or copy any proprietary features.
• Disrupt the system or compromise security.

We reserve the right to suspend or terminate accounts found in violation of our terms.

5. Fees & Billing

Subscription fees are billed in advance based on the plan you select.

Payment terms, refund, and cancellation details are outlined in our Refunds & Cancellation Policy.

All pricing is subject to applicable local taxes (e.g., GST/HST in Canada, VAT in Latin America) and may change with notice.

6. Intellectual Property

All content, branding, software, and materials available on RestoGenie.com are the property of Resto Genie or its licensors. You may not:

• Copy, reproduce, or distribute any materials without written permission.
• Use the Resto Genie name, logo, or branding in a misleading manner.

7. Data Protection

We are committed to protecting your data. Please refer to our Privacy Policy for details on how we collect, use, and store your information, in compliance with laws like PIPEDA (Canada) and LGPD/LFPDPPP (Latin America).

8. Software Updates & Availability

We may update or modify the Services periodically. We aim for maximum uptime, but we do not guarantee uninterrupted service.

We reserve the right to suspend or discontinue any part of the Services at any time, with or without notice.

9. Limitation of Liability

To the maximum extent permitted by law:

• Resto Genie and Happy U Technology shall not be liable for any indirect, incidental, special, or consequential damages.
• Our total liability in any matter arising from the use of the Services is limited to the amount you paid in the last 12 months.

10. Termination

We may suspend or terminate your access to the Services if:

• You violate these Terms
• Your payment fails
• We are required by law or a court order

Upon termination, your access to the ERP system and its data will be revoked.

11. Governing Law

These Terms shall be governed by the laws of:

• The Province of Ontario (for users in Canada)
• The applicable federal or state laws of the user's country (for users in Latin America)

Any disputes shall be resolved in courts located within the applicable jurisdiction.

12. Changes to Terms

We may revise these Terms at any time. Updates will be posted on this page with the effective date. Continued use of our Services constitutes acceptance of the updated Terms.
